1. Overview.
   You may enter one or more of the daily Instant Win games (each, a “Game”) available through Instant Win widgets (each, a “Widget”) offered in the PCHShare&Win promotion (the “Promotion”) by going to the PCHShare&Win website and following all applicable entry instructions for a chance to win valuable prizes. Upon registration and each day thereafter you will be automatically assigned ten (10) Game Plays with the possibility of earning up to fifteen (15) additional Game Plays in accordance with Section 4(b) of the Official Rules.  The maximum number of possible Game Plays per day is twenty five (25).  Each Game Play may be used to play a Game one time.  These Official Rules apply to the Promotion except where expressly specified, excluded or modified by or for a particular Game.
2. Eligibility.
   1. The Promotion is open to legal residents of the fifty (50) United States (including District of Columbia, excluding Puerto Rico, US Virgin Islands and US and foreign possessions and territories) and Canada (excluding Quebec) who are 18 years of age or older at the time of entry and who have entered valid and verifiable information upon registration, including an email address.
   2. Employees, officers and directors of Publishers Clearing House LLC (the “Sponsor”), RealTime Media, Inc. (the “Promotion Administrator”) and their respective affiliates, distributors, retailers, sales representatives, advertising and promotion agencies (collectively, the “Promotion Entities”), contest supervisors and the immediate family and household members of all such individuals, respectively, are not eligible to enter or win a prize in the Promotion.
   3. “Immediate family members” means parents, step-parents, legal guardians, children, step-children, siblings, step-siblings and spouses.  “Household members” shall mean those people who share the same residence at least three months a year.  Void where prohibited or restricted by law.
3. Promotion Period.
   The Promotion begins on March 1, 2009 at 12:00 PM Eastern Time (ET) and ends on February 28, 2010 at 11:59 PM ET (the “Promotion Period”). Any portion of the Promotion may be terminated earlier at Sponsor’s option.  All plays received prior to the effective date of termination will be honored and fully eligible to win.
4. Register Online; Game Plays.
   1. To register for the Promotion go to http://www.pchshareandwin.com (the "Website") during the Promotion Period.  You must provide a valid email address and password.  Check to make sure that you correctly entered information in all required fields on the registration form.
   2. Upon successful registration you will become a User and may play Games on Widgets.  You will receive ten (10) Game Plays automatically upon registration and each day thereafter.  You can earn up to a maximum of fifteen (15) bonus Game Plays per day.  To earn bonus Game Plays, you must first grab a Widget and place the Widget on your personal site, social networking profile, start page or desktop.  Once you have placed your Widget, you can then earn one (1) bonus Game Play by (i) sharing the widget by sending the widget by email to an unregistered user, who subsequently registers as a user on that Widget and grabs that Widget for their personal site or blog, social networking profile, start page or desktop and/or (ii) by an unregistered friend registering as a User through a Widget you have grabbed and placed on your page.
   3. Unused Game Plays will expire at 11:59:59 PM ET of the day that the bonus Game Plays were assigned or earned.  Unused Game Plays will not be rolled over from day to day.
   4. A day will be deemed to start at 12:00:00 A.M., ET and end at 11:59:59 P.M. ET of a calendar day. The computer of the Promotion Administrator shall be deemed to be the official clock for purposes of the Promotion.
5. How to Play and Win.
1. Each Widget will have a clearly identified button or similar device to initiate play.  After registering/logging in, simply press the button.  The Widget will do the rest.
2. Winning Game Plays will be determined on the basis of a randomly selected time determined in advance by the Promotion Administrator.  In order for your Game Play to win, it must have occurred either at the exact winning time or, if no Game Play has occurred at the exact winning time by any User, then it must be the first Game Play to occur after the winning time.
3. All winning Game Plays and winners are subject to verification and compliance with these Official Rules as determined by the Promotion Entities whose decisions shall be final in all matters pertaining to this Promotion.
6. Prizes and Odds of Winning
   The Instant Win Prize Schedule is as follows:
   • One (1) Five Hundred Dollar ($500.00) gift cards;
   • Five (5) Three Hundred Fifty Dollar ($350.00) gift cards;
   • Ten (10) One Hundred Dollar ($100.00) gift cards;
   • Twenty (20) Fifty Dollar ($50) gift cards; and
   • Two Thousand Seven Hundred (2,700) Ten Dollar ($10) gift cards are available during the Promotion Period.

7. Awarding Prizes.
   1. If one of your Game Plays is a winner, you will be immediately notified of that fact and of the prize you have won.  A confirmation email will also be sent from support@cs.pchshareandwin.com within 24 hours to confirm a winning Game Play.
   2. Winners should expect to receive their gift card in 10 to 14 days. All prizes will be delivered by email.   
   3. If a potential winner cannot be reached after ten (10) days from the first notification attempt, or is found to be ineligible, or is found to have violated these Official Rules or the Terms of Use, or fails to claim a prize or declines to accept a prize, the prize will be forfeited.  The Promotion Entities may withhold any prize until the Sponsor is satisfied that the winner is eligible and has complied with these Official Rules and the Terms of Use.
   4. If a notification email to the registered email address for a potential winner is returned as undeliverable (including without limitation blocking of PCHShare&Win email to the User’s email address by the User’s email service provider (ESP), failure of an ESP to deliver email from PCHShare&Win, incorrect email address or unrecognizable domain), the potential winner will be disqualified and the prize will be forfeited.
   5. Potential winners may be required to furnish picture proof of identification, which may include a driver's license, passport, voting card or similar government issued identification.  Such proof must match the information on the potential winner’s registration.
   6. Potential winners may also be required to sign an affidavit of eligibility, release of liability and (except where prohibited by law) consent to publicity, including but not limited to the use of winner's name, hometown and photograph without additional compensation, which if requested by Sponsor must be signed, notarized and returned to Sponsor within fourteen (14) days of receipt, or prize will be forfeited and potential winner will be disqualified.
   7. A list of winners may be obtained by sending a self-addressed, stamped envelope to: RealTime Media c/o “PCHShare&Win Winners List”, 1060 First Avenue, Suite 201, King of Prussia, PA 19406.
8. Privacy Notice.

9. Grant of Rights.
   By using the Website, accessing any Widget and playing any Game, each User (a) grants to the Promotion Entities the right, but not the obligation, to use and publish the User’s name and city and state of residence and/or screen name and any information concerning the User obtained through the Promotion, including without limitation Game Play and/or winning statistics, online and in print, or any other media, in connection with PCHShare&Win, and (b) releases and agrees to hold harmless the Promotion Entities, their respective parents, subsidiaries, affiliates, directors, officers, employees, and agents from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the Promotion or any prize won.
10. Conduct.
    The Promotion Entities reserve the right at their sole discretion to disqualify any individual found to be tampering with the entry process or the operation of the Website or any Game or Widget or otherwise to be acting in violation of the Official Rules or the Terms of Use. 
11. Limitations on Liability.
    The Promotion Entities are not responsible for any incorrect and/or inaccurate information, whether caused by website users and/or by any of the equipment and/or programming associated with and/or utilized in any contest or by any technical or human error which may occur in the processing of Game Plays in PCHShare&Win, confirmation e-mails from PCHShare&Win or any other e-mails from the Promotion Entities.  The Promotion Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft and/or destruction and/or unauthorized access to and/or alteration of any entry or entries. The Promotion Entities are not responsible for any problems and/or technical malfunction of any telephone network or lines, computer on-line-systems, servers or providers, computer equipment, software, failure of email and/or players on account of technical problems and/or traffic congestion on the Internet and/or at any website or combination thereof, including injury or damage to participants or to any other person's computer related to and/or resulting from participating or downloading materials in this contest.  If, for any reason, the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures and/or any other causes beyond the control of the Promotion Entities which corrupt or affect the administration, security, fairness, integrity and/or proper conduct of this contest, the Promotion Entities reserve the right at their sole discretion to cancel, terminate, modify and/or suspend the Promotion or any affected Game or Widget.  The Promotion Entities make no representations or warranties of any nature whatsoever with respect to any product or service advertised in any promotion or any other contest presented by Publishers Clearing House.

12. Tax Information.
    All applicable federal, state, local, and other taxes on or with respect to prizes are the sole responsibility of the winner.

13. Disputes.
    Entries will be deemed made by the authorized account holder of the email address submitted at time of entry.  The authorized account holder of an email address is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and the Promotion Entities in connection with the Promotion, shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of New York or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of New York.

    Each entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or in connection with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (b) if the parties are unable to resolve their dispute amicably, it shall be resolved by Arbitration Rules of the American Arbitration Association in English before a single arbitrator in New York, New York; (c) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (d) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

14. General Conditions.
    No purchase, payment, or online access fee is necessary to play, enter or win.  Some Internet service providers are free.  Void wherever prohibited or restricted by law.  Entry constitutes consent to abide by the terms of these Official Rules which are final on all matters pertaining to the Promotion, the Website, the Games and the Widgets.  Use of the Website or any Game or Widget constitutes consent to the Official Rules, the Sweepstakes Facts, the Privacy Policy and the Terms of Use as incorporated by reference herein.  If you do not agree to these Official Rules, the Sweepstakes Facts, the Privacy Policy and/or the Terms of Use, please do not use our sites, Games or Widgets.  The Promotion Entities reserve the right, at our discretion, to change, modify, add or remove all or any part of the Games, the Promotion, the Website and any or all portions of the Official Rules, the Sweepstakes Facts, the Privacy Policy and/or the Terms of Use at any time and for any reason.  Any prize not awarded at the time it is won or by the end of the Promotion will, to the fullest extent permitted by applicable law, be void.  Sponsor may elect to award void or unclaimed prizes to alternate winners or allow them to lapse.  Your continued use of the Website following the posting of any changes to these Official Rules, the Sweepstakes Facts, the Privacy Policy and/or the Terms of Use constitutes acceptance of any changes.  Please check the website http://www.pchshareandwin.com frequently for any changes.
